3. About LBD Consultants
LBD Consultants is a South African labour and human capital advisory practice, formerly trading as LBD Payroll and Business Specialists. LBD Consultants operates through specialist Divisions — Labour Law, HR, Payroll, Bookkeeping & Accounting, SDF, Employment Equity, Special Research & Projects, Training, and Marketing — offering Clients an integrated advisory relationship across labour, HR, financial and skills-development disciplines, drawing on the relevant specialist expertise for each engagement.
The rebrand from LBD Payroll and Business Specialists to LBD Consultants reflects the growth of the practice into a broader advisory offering; it does not represent a change in the underlying registered business, ownership, or continuity of existing Client relationships and obligations.
4. Scope of Services
The specific scope, deliverables, fees, and timelines applicable to any engagement will be set out in a separate, written Service Agreement (which may take the form of a signed proposal, quotation, retainer letter, or order confirmation). These Terms apply to every Service Agreement and are incorporated into it by reference. Where there is a direct conflict between these Terms and a specific Service Agreement, the terms of the Service Agreement will prevail in respect of that engagement only.
All Services rendered by LBD Consultants, across every Division, are advisory and professional in nature. While LBD Consultants will exercise reasonable skill, care, and diligence consistent with prevailing professional standards, LBD Consultants does not guarantee any specific outcome, decision, ruling, approval, or result from a court, tribunal, regulator, funder, or other third party (see clause 11).
LBD Consultants reserves the right to decline, pause, or terminate an engagement where it identifies a conflict of interest, a request to act unlawfully or unethically, or non-payment of fees, subject to clause 15.
5. Labour Law Division — Additional Terms
Certain Labour Law Division Services, including CCMA and Bargaining Council representation, disciplinary hearing chairing, and related advisory work, may be rendered by a contracted Labour Lawyer and/or by CCMA-accredited case handlers engaged by LBD Consultants for that purpose.
Engaging the Labour Law Division does not create a direct attorney-and-client or advocate-and-client relationship between the Client and any individual practitioner, independently of LBD Consultants. All instructions, correspondence, fee arrangements, and communications relating to a Labour Law Division matter are to be directed to and administered through LBD Consultants, unless the parties agree otherwise in writing.
Outcomes of CCMA referrals, Bargaining Council proceedings, disciplinary hearings, appeals, and related processes are determined by the applicable tribunal, forum, or presiding officer in accordance with its own rules, procedures and timeframes, and are not within LBD Consultants’ control. No warranty is given as to the outcome, timing, or result of any such proceeding.
6. Online Courses and Training — Additional Terms
This clause 6 applies specifically to Online Courses, webinars, workshops, and other training offerings made available by LBD Consultants’ Training Division, in addition to the general Terms set out elsewhere in this document.
6.1 Enrolment and Confirmation
- Enrolment in an Online Course is subject to availability and is only confirmed once LBD Consultants has received full payment (or, for corporate/invoiced bookings, a signed order confirmation) and has issued a confirmation of enrolment by email.
- LBD Consultants may set a minimum or maximum number of participants for a given Online Course and reserves the right to postpone, reschedule, combine, or cancel a course where minimum numbers are not met, or where a facilitator becomes unavailable, subject to clause 6.5.
- Course dates, times, content outlines, and facilitators published on the Website are indicative and may change; participants will be notified of any material change as soon as reasonably possible.
6.2 Access and Permitted Use
- Online Courses may be delivered live (via video conferencing platform), as pre-recorded on-demand content, or through a combination of both, as specified on the relevant course page.
- Access to course materials, recordings, and any learning platform is granted for a defined access period (as specified at the time of enrolment) and is personal to the enrolled Participant, or, for a corporate booking, limited to the specific number of named employees registered.
- The licence granted to access an Online Course is non-exclusive, non-transferable, and for internal training or personal learning purposes only. Participants and Clients may not resell, sublicense, publicly display, broadcast, or redistribute course materials or recordings, in whole or in part, without LBD Consultants’ prior written consent.
- Participants are responsible for ensuring they have adequate internet connectivity, a suitable device, and any required software to access an Online Course. LBD Consultants is not liable for a Participant’s inability to access or complete a course due to the Participant’s own equipment, connectivity, or software limitations.
6.3 Certificates and Accreditation Status
- Unless a specific Online Course is expressly marketed as accredited by a SETA, QCTO, or other recognised accrediting body, all Online Courses are non-accredited. A certificate of attendance or completion issued for a non-accredited course confirms participation only and does not constitute a recognised qualification, credit, or statutory certification.
- Where a course is accredited, the accrediting body, registration or accreditation number, and any conditions attached to that accreditation will be stated on the relevant course page and/or in the Service Agreement for that course.
- Certificates are issued only once any applicable attendance, assessment, or completion requirements for the specific course have been met.
6.4 Recording, Intellectual Property and Conduct
- Live Online Courses, webinars, and workshops may be recorded by LBD Consultants for quality assurance, internal training, and/or future on-demand resale as course content. By participating, Participants consent to being recorded where their camera, microphone, or chat contributions form part of the session, unless they notify LBD Consultants in advance and adjust their participation accordingly (for example, by keeping their camera off).
- Participants may not record, screenshot, or distribute any live or on-demand Online Course content without LBD Consultants’ prior written consent.
- Participants are expected to engage respectfully and professionally during any live session. LBD Consultants reserves the right to remove a Participant from a live session, without refund, for disruptive, abusive, or unlawful conduct.
6.5 Course Fees, Cancellation and Refunds
- Course fees are payable in full prior to access being granted, unless a corporate invoicing arrangement has been agreed in writing.
Participants who cancel more than 7 calendar days before the course start date will receive a full refund, less a 10% administration fee. Cancellations within 7 days of the start date, or non-attendance, are not eligible for a refund but may be transferred to a future intake at LBD Consultants’ discretion.”
- Where LBD Consultants cancels or postpones an Online Course (for example, due to insufficient enrolment or facilitator unavailability), enrolled Participants will be offered a full refund or a transfer to an alternative date, at the Participant’s election.
- No refund is due once a Participant has accessed on-demand course materials or attended a live session, save where required by applicable consumer protection legislation.
7. Fees, Quotations and Payment Terms
- Fees for Services are set out in the applicable Service Agreement, quotation, or retainer letter. Unless stated otherwise, a quotation remains valid for 30 days from its date of issue.
- All fees are exclusive of Value-Added Tax (VAT) unless expressly stated to be inclusive.
- “Invoices are payable within 7 (seven) days of the invoice date, unless a different payment term is recorded in the Service Agreement.”]
- Interest may be charged on overdue amounts at the maximum rate permitted under the National Credit Act 34 of 2005 and/or the Prescribed Rate of Interest Act 55 of 1975, calculated from the due date until the date of payment.
- LBD Consultants reserves the right to suspend or withhold further Services (including, without limitation, filings, submissions, or deliverables) where a Client’s account is in arrears, provided reasonable prior notice is given, except where a statutory deadline would otherwise be missed, in which case LBD Consultants will act reasonably in the Client’s interests while payment is resolved.
- LBD Consultants may amend its standard fees or rate card from time to time; such changes will not apply retroactively to a Service Agreement already in force, but may apply to renewals or new engagements.
8. Client Obligations
- The Client must provide accurate, complete, and timely information, documentation, and access reasonably required for LBD Consultants to render the Services, including but not limited to payroll data, employee records, financial records, and employment equity data.
- The Client remains legally responsible, as the registered employer or entity, for its own compliance with all applicable statutory and regulatory obligations (including but not limited to obligations to SARS, CIPC, the relevant SETA, and the Department of Employment and Labour), notwithstanding any advisory or administrative assistance provided by LBD Consultants.
- The Client must nominate an authorised representative empowered to give instructions to LBD Consultants and to receive deliverables and correspondence on the Client’s behalf.
- The Client must notify LBD Consultants promptly of any change in circumstances that may affect the Services, including changes to entity name, registration details, or key personnel.
9. Confidentiality and Data Protection
Each party will keep confidential all Confidential Information disclosed to it by the other party in connection with the Services, and will not disclose such information to any third party except as required to render the Services, as required by law, or with the disclosing party’s prior written consent.
Where LBD Consultants processes personal information on the Client’s behalf (for example, employee payroll, HR, or employment equity data) in the course of rendering Services, it does so in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA), and will:
- process personal information only for the purpose of, and to the extent necessary to, render the relevant Service;
- apply reasonable technical and organisational security safeguards to protect personal information against loss, unauthorised access, and misuse;
- not sell, rent, or use personal information processed on a Client’s behalf for any purpose unrelated to the Services; and
- retain personal information only for as long as necessary to fulfil the purpose for which it was collected, or as required by applicable law, after which it will be securely deleted or de-identified.
Further detail on how LBD Consultants collects, uses, and protects personal information obtained through the Website (including cookies and enquiry forms) is set out in LBD Consultants’ separate Privacy Policy, which forms part of these Terms by reference.
10. Intellectual Property
- All content on the Website, together with LBD Consultants’ methodologies, templates, precedents, training materials, and course content, is owned by or licensed to LBD Consultants and is protected by applicable copyright and intellectual property law.
- Deliverables prepared specifically for a Client under a Service Agreement (for example, a bespoke HR policy, EE plan, or research report) become the property of the Client upon receipt of full payment for the relevant engagement, save that LBD Consultants retains the right to reuse its own underlying templates, precedents, and methodology — in de-identified and non-Client-specific form — for other engagements.
- No part of the Website, course materials, or LBD Consultants’ branding may be reproduced, republished, or used for commercial purposes without LBD Consultants’ prior written consent.
11. Professional Disclaimer and No Guarantee of Outcome
Content published on the Website, including articles, blog posts, guides, and social media commentary, is provided for general informational purposes only. It does not constitute legal, financial, tax, or other professional advice, and does not create an advisory or client relationship between LBD Consultants and any reader. Formal advice is only provided once a Service Agreement has been concluded for a specific engagement.
South African labour, tax, and skills development legislation changes frequently. While LBD Consultants takes reasonable care to keep published content current, LBD Consultants does not warrant that any content reflects the most recent legislative or regulatory position, and readers should confirm the current legal position, or engage LBD Consultants directly, before relying on any published content for a specific decision.
LBD Consultants does not guarantee any specific outcome, decision, ruling, certification, or approval from any court, tribunal (including the CCMA or a Bargaining Council), regulator, SETA, funder, or other third party, as these outcomes depend on facts specific to each matter and on the discretion of that third party, which falls outside LBD Consultants’ control.
12. Limitation of Liability
To the maximum extent permitted by applicable law, LBD Consultants’ total aggregate liability to a Client arising out of or in connection with a Service, whether in contract, delict, or otherwise, will not exceed the total fees actually paid by that Client to LBD Consultants for the specific Service giving rise to the claim in the 12 (twelve) months preceding the event, or such other limit as may be recorded in the applicable Service Agreement.
LBD Consultants will not be liable for any indirect, special, incidental, or consequential loss or damage, including loss of profit, loss of revenue, or loss of data, arising out of or in connection with the Services or the Website, save to the extent such loss arises from LBD Consultants’ gross negligence, wilful misconduct, or fraud, which cannot be excluded or limited under South African law.
The Website and its content are provided on an “as is” and “as available” basis. LBD Consultants does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components.
13. Indemnity
The Client indemnifies and holds LBD Consultants harmless against any claim, loss, damage, cost, or expense arising from: (a) inaccurate, incomplete, or misleading information or documentation supplied by the Client; (b) the Client’s failure to comply with its own statutory, regulatory, or contractual obligations; or (c) the Client’s misuse of any deliverable, advice, or course material provided by LBD Consultants outside the scope for which it was provided.
14. Website Use and Acceptable Use
- You may browse the Website and download or use published resources for your own personal or internal business use.
- You may not scrape, systematically extract, reproduce, or republish Website content; attempt to reverse-engineer any part of the Website; introduce viruses, malware, or other harmful code; or use the Website for any unlawful or unauthorised commercial purpose.
- The Website may contain links to third-party websites for convenience. LBD Consultants does not endorse and is not responsible for the content, accuracy, or practices of any linked third-party website.
15. Cancellation and Termination of Services
- Either party may terminate an ongoing retainer or Service Agreement on 30 (thirty) days’ written notice to the other party, unless a different notice period is recorded in the applicable Service Agreement.
- LBD Consultants may terminate a Service Agreement with immediate effect on written notice where the Client commits a material breach of these Terms or the Service Agreement that is not remedied within 7 (seven) days of being notified, where the Client becomes insolvent or is placed under business rescue, or where the Client’s account is in material arrears.
- On termination, the Client remains liable for all fees due for Services rendered up to the date of termination. LBD Consultants will, on request and subject to settlement of outstanding fees, hand over Client records and support a reasonable transition of any statutory or regulatory matter in progress (for example, an open SDF, EE, or SARS matter), to the extent reasonably practicable.
16. Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure results from circumstances beyond that party’s reasonable control, including but not limited to load-shedding or power disruptions, network or systems outages, natural disaster, pandemic, civil unrest, strike action, or a change in law or regulatory shutdown. The affected party will notify the other as soon as reasonably possible and take reasonable steps to mitigate the impact of the delay.
17. Amendments to These Terms
LBD Consultants may update these Terms from time to time to reflect changes in its Services, legal or regulatory requirements, or business practices. The updated Terms will be posted on the Website with a revised “last updated” date. Continued use of the Website, or continuation of an existing engagement, after an update takes effect constitutes acceptance of the revised Terms. Where a change would materially affect an existing signed Service Agreement, LBD Consultants will seek the Client’s written agreement before applying that change to the existing engagement.
18. Dispute Resolution
- In the event of a dispute arising out of or in connection with these Terms or a Service Agreement, the parties will first attempt, in good faith, to resolve the dispute through direct negotiation between their respective representatives.
“If the dispute is not resolved within 15 (fifteen) business days, either party may refer it to mediation, and thereafter to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA), before either party approaches a court of competent jurisdiction.”
- Nothing in this clause limits either party’s right to refer a dispute falling within the jurisdiction of the CCMA, a Bargaining Council, or the Labour Court to that forum in accordance with the applicable labour legislation, or to approach a court for urgent interim relief.
19. Governing Law and Jurisdiction
“These Terms are governed by the laws of the Republic of South Africa. The parties consent to the non-exclusive jurisdiction of the [Gauteng Division, Pretoria] of the High Court of South Africa in respect of any dispute arising from these Terms.”
20. General
- These Terms, together with the applicable Service Agreement and Privacy Policy, constitute the entire agreement between the parties in respect of their subject matter, and supersede any prior discussions, representations, or agreements on that subject matter.
- If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
- No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right.
- The Client may not cede, assign, or delegate any of its rights or obligations under these Terms or a Service Agreement without LBD Consultants’ prior written consent.
- Any notice required under these Terms must be given in writing and will be deemed received when delivered by hand, or 24 hours after being sent by email to the addresses recorded in the applicable Service Agreement.
